Account Registration

To access certain features, you must create an account. When registering, you agree to:

LUKi is an AI-powered companion application that provides conversational interactions, memory features, and personalized experiences. Our Services include:

• • File upload and management
• • Customizable AI avatars ("Soul AI")

Free and Paid Plans

LUKi offers both free and paid subscription plans. Paid plans provide access to additional features and increased usage limits.

Billing

• • Subscriptions are billed in advance on a monthly or annual basis
• • Payment is processed securely through Stripe
• • Subscriptions automatically renew unless cancelled before the renewal date
• • Prices are subject to change with reasonable notice

Cancellation & Refunds

• • You may cancel your subscription at any time from your account settings
• • Cancellation takes effect at the end of the current billing period
• • We offer a 7-day refund window for new subscriptions
• • No refunds for partial billing periods after the refund window

Free Trials

If you sign up for a free trial, you will not be charged until the trial period ends. You may cancel at any time during the trial without charge.

You agree NOT to use our Services to:

• • Violate any applicable laws or regulations
• • Infringe upon the rights of others
• • Generate or distribute harmful, illegal, or offensive content
• • Harass, threaten, or abuse other users
• • Impersonate any person or entity
• • Upload malware, viruses, or malicious code
• • Attempt to gain unauthorized access to our systems
• • Interfere with or disrupt the Services
• • Use automated systems (bots, scrapers) without permission
• • Circumvent any security or access controls
• • Engage in any activity that could harm minors
• • Use the AI to generate content that violates our content policies

Our Intellectual Property

The Services, including all content, features, and functionality (such as text, graphics, logos, icons, images, audio, video, software, and code), are owned by LUKi and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Your Content

You retain ownership of content you create or upload to LUKi. By using our Services, you grant us a limited, non-exclusive, royalty-free license to use, store, and process your content solely to provide and improve our Services.

AI-Generated Content

Content generated by LUKi's AI in response to your inputs is provided for your personal use. You may use AI-generated text and images for personal and commercial purposes, subject to applicable laws and third-party rights.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• • The Services will be uninterrupted, secure, or error-free
• • AI responses will be accurate, complete, or reliable
• • The Services will meet your specific requirements
• • Any defects will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUKI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless LUKi, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

Informal Resolution

Before filing a formal dispute, you agree to contact us first to attempt to resolve the matter informally.

Arbitration Agreement

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration, except where prohibited by law. You agree to waive your right to a jury trial and to participate in class actions.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles.

You may terminate your account at any time by deleting your account through the Settings page or by contacting us.

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and provide notice through the Services or via email. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

• Entire Agreement: These Terms constitute the entire agreement between you and LUKi regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right or provision shall not constitute a waiver of such right.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights freely.
• Force Majeure: We shall not be liable for delays or failures due to circumstances beyond our reasonable control.
